2. Scope of Services
CodeHarborDigital provides web development, e-commerce solutions, database architecture, performance optimization, cloud infrastructure, UI/UX design, SEO, API development, security hardening, and migration services. The specific scope, deliverables, timeline, and pricing for each project are defined in individual service agreements or proposals issued prior to project commencement.
3. Payment Terms
Payment is due according to the milestones specified in the service agreement. A 50% deposit is required before project initiation. Remaining payments are due upon delivery of each milestone. Invoices not paid within 15 calendar days of the due date will incur a late fee of 1.5% per month. All prices are quoted in Euros and exclude applicable VAT.
4. Intellectual Property
Upon full payment, all deliverables, source code, designs, and documentation created specifically for the client become the intellectual property of the client. CodeHarborDigital retains ownership of pre-existing tools, libraries, frameworks, and methodologies used in the development process. The client receives a perpetual, non-exclusive license to use any such pre-existing components incorporated into the deliverables.
5. Project Timeline & Delays
Timelines are estimates based on the project scope as defined at the outset. Delays caused by the client (late feedback, delayed approvals, scope changes) will extend the delivery timeline proportionally. CodeHarborDigital will notify the client promptly of any anticipated delays and propose a revised schedule.
6. Limitation of Liability
CodeHarborDigital shall not be liable for indirect, incidental, or consequential damages including loss of revenue, data, or business opportunity. Our total aggregate liability under any service agreement shall not exceed the total fees paid by the client for the specific project giving rise to the claim.
7. Confidentiality
Both parties agree to maintain the confidentiality of proprietary information shared during the course of the engagement. This obligation survives the termination of the service agreement for a period of 2 years.
8. Termination
Either party may terminate a service agreement with 15 days written notice. Upon termination, the client is responsible for payment of all work completed up to the termination date. Work product delivered prior to termination remains subject to the intellectual property provisions of Section 4.
9. Governing Law
These Terms of Service are governed by the laws of Spain and the European Union. Any disputes shall be resolved in the courts of Palma de Mallorca, Balearic Islands, Spain.

1. Eligibility for Refunds
CodeHarborDigital operates a milestone-based payment structure. Refunds are evaluated based on the work completed at the time of the refund request. As each milestone payment covers work already performed, refunds are generally limited to undelivered and unstarted portions of the project.
2. Cancellation Before Project Start
If you cancel a project before any work has commenced, you are entitled to a full refund of the initial deposit minus any administrative fees (5% of the deposit amount). Cancellations must be communicated in writing to [email protected].
3. Cancellation During Active Project
If a project is cancelled while work is in progress, you will be invoiced for all work completed up to the date of cancellation. Any overpayment relative to completed work will be refunded within 15 business days. Delivered milestones are non-refundable.
4. Dissatisfaction with Deliverables
If you are dissatisfied with delivered work, you must notify CodeHarborDigital within 7 calendar days of delivery. We will review the deliverables against the agreed scope and, if the deliverables materially fail to meet the specifications, we will either: (a) rectify the issues at no additional cost, or (b) issue a partial refund for the non-conforming deliverable.
5. Non-Refundable Items
The following are not eligible for refunds: third-party costs incurred on behalf of the client (domain registrations, hosting fees, software licenses), work completed and approved by the client under a signed milestone acceptance, and rush or expedite fees.
6. Refund Process
To request a refund, email [email protected] with your project details, invoice number, and reason for the refund request. We will acknowledge receipt within 2 business days and provide a resolution within 10 business days. Refunds are processed to the original payment method.
7. Governing Law
This Refund Policy is governed by the consumer protection laws of Spain and the European Union. Nothing in this policy affects your statutory rights under applicable EU consumer protection legislation.
